AGREEMENT TO TERMS

THESE ANEUVO WEBSITE TERMS OF USE (THESE “TERMS”) FORM A LEGALLY BINDING AGREEMENT BETWEEN YOU, THE PERSON OR ENTITY AGEEING TO THESE TERMS (“YOU” OR “YOUR”) AND NICHE  BIOMEDICAL, INC. D/B/A ANEUVO (“ANEUVO,” “WE,” “OUR,” OR “US”) (EACH A “PARTY,” AND COLLECTIVELY THE “PARTIES”). THESE TERMS COVER YOUR ACCESS AND USE OF THE ANEUVO.COM WEBSITE (THE “SITE”).

YOU AGREE THAT BY ACCESSING THE SITE, YOU”

  • HAVE READ, UNDERSTAND, AND AGREE THAT YOU ARE BOUND BY THESE TERMS;
  • WARRANT THAT YOU ARE OF LEGAL AGE TO AGREE TO THESE TERMS;
  • AND ARE AGREEING TO THESE TERMS ON YOUR OWN BEHALF OR, IF YOU ARE AGREEING ON BEHALF OF AN ENTITY, THE PERSON AGREEING TO THESE TERMS CONFIRM THAT HE/SHE HAS ACTUAL AUTHORITY TO LEGALLY BIND THAT ENTITY TO THESE TERMS.

IF YOU DO NOT AGREE TO THESE TERMS IN THEIR ENTIRETY, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE, AND YOU MUST DISCONTINUE USE IMMEDIATELY.

YOUR USE OF THE SITE IS ALSO SUBJECT TO THE THEN-CURRENT VERSION OF THE ANEUVO PRIVACY POLICY AVAILABLE AT HTTPS://RESOURCES.ANEUVO.COM/PRIVACY (THE “PRIVACY POLICY”), WHICH EXPLAINS HOW ANEUVO HANDLES YOUR PERSONAL INFORMATION, INCLUDING ANY HEALTH-RELATED INFORMATION THAT YOU PROVIDE THROUGH USE OF THE SITE.

WE RESERVE THE RIGHT, IN OUR SOLE DISCRETION, TO MAKE CHANGES OR MODIFICATIONS TO THESE TERMS AT ANY TIME AND FOR ANY REASON. WE WILL ALERT YOU ABOUT ANY CHANGES BY UPDATING THE “LAST UPDATED” DATE OF THESE TERMS AND CONDITIONS, AND YOU WAIVE ANY RIGHT TO RECEIVE SPECIFIC NOTICE OF EACH CHANGE. IT IS YOUR RESPONSIBILITY TO PERIODICALLY REVIEW THESE TERMS TO STAY INFORMED OF UPDATES. YOU WILL BE SUBJECT TO AND WILL BE DEEMED TO HAVE BEEN MADE AWARE OF, AND TO HAVE ACCEPTED, THE CHANGES IN ANY REVISED TERMS BY YOUR CONTINUED USE OF THE SITE AFTER THE DATE SUCH REVISED TERMS ARE POSTED.

ANEUVO does not provide medical advice. The content on the Site is for informational purposes only and is not intended as a substitute for professional medical diagnosis, treatment, or advice. You
should consult with a qualified healthcare provider for any medical concerns.

In compliance with U.S. FDA regulations and EU MDR (Regulation (EU) 2017/745), no product displayed or described on this Site is intended to diagnose, treat, cure, or prevent any disease unless explicitly cleared or approved by the appropriate regulatory authorities.

2. Use of the Site

You agree not to:

  • Use the Site in violation of any local, national, or international law.
  • Reverse engineer, copy, distribute, or exploit any content or code of the Site without Our prior written consent.
  • Frame or mirror any portion of the Site, or otherwise incorporate any portion of the Site into any product or service, without ANEUVO’s express prior written consent; or
  • Interfere with or disrupt the operation of the Site or the servers or networks used to make the Site available, including by hacking or defacing any portion of the Site; or violate any requirement, procedure or policy of such servers or networks;
  • Attempt in any way to remove or circumvent any technical protection measures protecting the integrity of the Site and the intellectual property rights of the Site from misappropriation
  • Use the Site for timesharing or otherwise in providing services to third parties; or
  • Use content from the Site for training AI systems or machine learning models.

3. Regulatory Compliance

The Site may refer to investigational or pre-commercial products not yet approved or cleared for sale by regulatory agencies including the U.S. Food and Drug Administration (FDA) or European Medicines Agency (EMA).

  • ANEUVO complies with the U.S. FDA advertising and labeling regulations for medical devices.
  • ANEUVO complies with the EU MDR requirements for transparency, labeling, safety, and performance of medical devices.

Not all products or services described may be available in all jurisdictions.

4. Intellectual Property

(a) Site Content. All content on the Site, including text, logos, images, graphics, videos, and software, is the property of ANEUVO or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. You may not:

  • Modify or reproduce any part of the Site.
  • Use ANEUVO’s trademarks or logos without our prior written permission.
  • Create derivative works based on the Site content.

(b) Feedback. Any submissions by You (e.g., comments, questions, suggestions, materials – collectively, “Feedback”) through the Site and/or any communication whatsoever (e.g., call, fax, email) will be treated as non-confidential and non-proprietary. You hereby assign all right, title, and interest in, and ANEUVO is free to use, without any notice, attribution or compensation to You, any ideas, know-how, concepts, techniques, or other intellectual property and proprietary rights contained in the Feedback, whether or not patentable, for any purpose whatsoever, including but not limited to, developing, manufacturing, having manufactured, licensing, marketing, and selling, directly or indirectly, products and services using such Feedback. You understand and agree that ANEUVO shall have no obligation of any kind to use, display, reproduce, or distribute any such ideas, know-how, concepts, or techniques contained in the Feedback, and You have no right to compel such use, display, reproduction, or distribution.

5. Your Data and Privacy

By using the Site, you agree that Your Data and Our use of Your Data is subject to the Privacy Policy. We do not collect or process personal health information (PHI) through this website. If you contact us via forms or email, you do so voluntarily and at your own discretion and any of Your Data included therein is subject to the Privacy Policy.

7. Disclaimers

(a) Disclaimers. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANEUVO, AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS:

  • DISCLAIM ALL LIABILITY FOR DAMAGES RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SITE, INCLUDING WITHOUT LIMITAITON INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOSS OF PROFITS OR DATA, EXCEPT AS PROVIDED IN CLAUSE (B) BELOW; AND

8. Indemnification

You agree to indemnify, defend and hold harmless ANEUVO, its affiliates, its licensors, its service providers, and its and their respective officers, directors, employees, agents, successors, assignees, and licensors from and against any and all claims, demands, liabilities, judgment, awards, losses, costs, and expenses (including, without limitation, attorneys’ and experts’ fees) made by a third party due to or arising out of, or related to (a) Your illegal use of, or illegal activities in connection with, the Site; (b) Your Data; and/or (c) any violation of these Terms or laws, regulations or third party rights including any infringement of their copyright or Intellectual Property Rights of any third party by You in connection with Your use of the Site, including negligent acts, omissions, and/or willful misconduct.

9. Dispute Resolution

If you are located in the United States of America or in any other country, other than a member state of the European Union:

  • These Terms are governed by the laws of the State of Delaware, without regard to conflict of
    law principles.
  • You agree to resolve disputes through binding arbitration in Delaware under the then prevailing Comprehensive Arbitration Rules of JAMS by one arbitrator appointed in accordance with those rules. The arbitrator will be chosen from a panel of arbitrators with substantive knowledge relevant to the subject matter of the dispute. The arbitrator will apply the laws specified above to the merits of any dispute or claim. Notwithstanding the foregoing, either You or We may apply to any court of competent jurisdiction for temporary injunctive relief or to enforce intellectual property rights.
  • You agree that any suit under or related to these Terms (other than to enforce a judgment or award) will be brought in the federal or state courts in the districts which include Wilmington, Delaware, United States of America.
  • In any action or proceeding, including arbitration, to enforce rights under these Terms, the prevailing party will be entitled to recover costs and attorneys’ fees, in addition to any award.

If you are located in a member state of the European Union, then disputes related to these Terms shall be resolved in accordance with the laws of the European Union and applicable national laws, using mediation/arbitration procedures when required under the MDR framework.

10. Termination

ANEUVO reserves the right to suspend or terminate your access to the Site at any time, without notice, for any reason or no reason, including conduct that ANEUVO believes violates these Terms or is otherwise harmful to ANEUVO or other users.

11. Miscellaneous

(a) Severability. If any provision of these Terms is held by a court of competent jurisdiction to be contrary to law, such provision will be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law and the remaining provisions of these Terms will remain in full force and effect.

(b) Headings. These Terms contains headings for Your convenience only and do not limit, define or fully explain each section. The headings do not constitute or form any part of these Terms and should not be used in the construction of these Terms.
